Y population, today announced that it has been informed by KPMG, LLP, the Company's
auditors, that due to a death in the family of a critical audit team member, together
with the audit procedures not yet completed, KPMG will not be able to complete
its audit of the Company's financial statements for the fiscal year ended January
31, 2004 by May 14, 2004 as the Company had previously anticipated. The Company
now expects that the audit will be completed and its Form 10-K for the fiscal
year ended January 31, 2004 will be filed during the week of May 17th, 2004. Alloy
reiterates its belief that the only material financial statement adjustment likely
to occur relative to the financial statements presented in the Company's March
30, 2004 earnings release will be a change in the writedown of goodwill and trademarks
